1. Service Description

HomeGenie AI ("HomeGenie," "we," "us," or "our") is a technology platform that provides an artificial intelligence assistant capable of making automated phone calls to service providers on your behalf for the purpose of bill negotiation, account inquiry, and related tasks. HomeGenie is not a financial advisor, attorney, licensed negotiator, debt settlement company, or credit counseling service. The AI assistant is an automated tool that communicates based on the information you provide and the instructions you give. We do not provide financial, legal, or professional advice of any kind.

2. Acceptance of Terms

By creating an account, accessing, or using HomeGenie (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. We may update these Terms from time to time; continued use of the Service after changes take effect constitutes your acceptance of the new Terms. We will notify you of material changes via email or in-app notice.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

4. Account Registration

You must provide accurate, current, and complete information during the registration process. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account.

5. AI Negotiation Calls

5.1 Automated Calls. HomeGenie uses artificial intelligence to place automated phone calls to service providers (utility companies, telecom providers, insurance carriers, medical billing departments, and similar entities) for the purpose of negotiating bills, requesting adjustments, or inquiring about account details. These calls are made by an automated AI system, not a human agent.

5.2 User Authorization. By initiating an AI negotiation call, you authorize HomeGenie to contact the specified service provider on your behalf using the account information and instructions you provide. You represent and warrant that you are the account holder or are otherwise authorized to act on behalf of the account holder with respect to the account in question.

5.3 No Guarantee of Results. Results of AI negotiation calls vary by service provider, account history, geographic location, applicable rates and tariffs, and other factors outside our control. We do not guarantee any specific savings, rate reduction, fee waiver, or other outcome. Any savings or adjustments obtained are at the sole discretion of the service provider.

5.4 Call Recording. AI negotiation calls may be recorded for quality assurance, dispute resolution, and service improvement purposes. Recordings are stored securely and retained in accordance with our Privacy Policy.

5.5 Provider Actions. HomeGenie is not responsible for any changes to your account, service, rates, or terms that may result from an AI negotiation call, including but not limited to service plan changes, contract term modifications, early termination fees, or any other action taken by the service provider as a result of the call.

6. Fees, Payment, and Refunds

6.1 Per-Call Fees. AI negotiation calls may be charged on a per-call basis. As of the date of these Terms, the per-call fee is $9.99 (USD). This fee is non-refundable once the AI call has been initiated and the connection to the service provider has been established. If the call fails to connect to the service provider for any reason (e.g., busy signal, disconnected number, technical error), the fee will be automatically credited back to your account or payment method.

6.2 Subscription Plans. Monthly subscription plans, if available, are billed in advance on a recurring basis. Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time; however, no refunds or credits will be provided for partial months following cancellation. Service continues through the end of the current billing period.

6.3 Payment Processing. All payments are processed securely through Stripe, Inc. We do not store full credit card numbers on our servers. By providing payment information, you authorize us and Stripe to charge the applicable fees to your designated payment method.

6.4 Price Changes. We reserve the right to change our fees or pricing upon 30 days’ advance notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

7. User Data and Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what data we collect, how we use and protect it, and your rights regarding your data. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

8. Acceptable Use

You agree not to use the Service for any unlawful purpose or in violation of any applicable law or regulation. Prohibited uses include, but are not limited to: (a) impersonating any person or entity; (b) providing false or misleading information about accounts you wish to negotiate; (c) using the Service to harass, abuse, or defraud others; (d) attempting to circumvent any security or authentication measures; (e) using the Service in connection with any illegal activity. We reserve the right to suspend or terminate accounts that violate these provisions.

9. Account Termination

You may delete your account at any time by contacting us. We may suspend or terminate your account immediately without prior notice if you breach these Terms, engage in fraudulent or abusive conduct, or if your conduct could harm other users or the Service. Upon termination, your access to the Service ceases and your data will be deleted within 30 days, subject to our data retention policies and legal obligations.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOMEGENIE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMEGENIE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. This includes, but is not limited to: (a) failed or unsuccessful negotiations; (b) changes to your service, account, rates, or terms made by service providers; (c) any financial loss, including but not limited to lost savings, increased rates, or fees incurred; (d) service interruptions, data loss, or technical errors; (e) actions taken by third-party service providers as a result of AI negotiation calls. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (II) ONE HUNDRED DOLLARS ($100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless HomeGenie, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party, including but not limited to service providers; (d) any misrepresentation you make regarding your authority to act on behalf of an account holder.

13. Governing Law

These Terms and any disputes arising out of or relating to the Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

14. Dispute Resolution and Arbitration

14.1 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be held in Dallas County, Texas, or remotely at the parties’ mutual agreement.

14.2 Waiver of Class Action. YOU AND HOMEGENIE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. The arbitrator may not consolidate more than one person’s claims or preside over any class or representative proceeding.

14.3 Opt-Out. You may opt out of this arbitration agreement by sending written notice to us within thirty (30) days of first accepting these Terms. If you do not opt out, this arbitration agreement shall govern all disputes.

14.4 Exceptions. This arbitration agreement does not preclude either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights, or from pursuing claims in small claims court for disputes within that court’s jurisdiction.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HomeGenie regarding the Service and supersede any prior agreements or understandings, whether written or oral.
